Job Context

  • The company is one of the earliest member of REHAB in Bangladesh for quality in service, design and construction of buildings. Over the years, we have expanded our operations from Dhaka to Chattogram. The private limited company operates in the field of property development & construction sector, having build commercial, residential projects & developing projects for the Bangladesh government. The group also operates one of the largest fleet of vessels within the country & consist of companies that may provide end to end logistical support. The company is also part of a group of companies which also manufactures & trades building materials such as stone, cement, steel, & plastic products. The founder and Managing Director of the company is a 3rd Parliamentary Member of the Republic of Bangladesh government.
  • As a head of Land & legal affairs you have to serve as the in-house counsel and the key to handle all of the Company`s compliance issues, legal transactions, partnerships, and lawsuits. The principal goal of the position is to make sure that all the Company`s activities, policies, and transactions are comply with state laws and regulations, while activity helping the Company avoids possible legal risks and violations.
  • The role will safeguard Company reputation by guaranteeing that the Company strictly follows law guidelines and give legal advice to the company.
  • You will need a strong operational background in a corporate setup and be well versed in managing the company at an executive level. You will manage day-to-day operations of the company, handle all aspects of Board relationships, legal matters, and general issues, thus having a direct effect on the financial and operational bottom-line of the company. Your industry, corporate and market knowledge will come from a successful career in the Real Estate & Construction Sector.
  • You will need to be highly articulate, confident and a persuasive team-builder who is able to motivate and communicate across levels to achieve best outcomes both internally and externally. You will directly supervise the efforts and activities of all senior and middle level managers and ensure that they comply with all the manuals of the company and legal procedures.

Job Responsibilities

  • Leading and managing all aspects of legal risks, defend proactively all legal issues, and provide prompt and appropriate in-house legal services.
  • Draft and solidify agreements, contacts and other legal documents to ensure the Company’s full legal rights.
  • Checking all prepared documentations (e.g. Corporate Agreement, Lease Agreement, Factoring Agreement, Deed of Agreement, Legal Undertaking, Corporate Guarantee, Tripartite Agreement, Employment Agreement etc.) and legal vetting of the same.
  • Ensure proper support to Customer Relationship Management [CRM] and After Sales Service Department in connection to legal actions taken or to be taken against any disputes, payment collection and breach of contract by the clients.
  • Monitoring cases, submission of statements relating to the new development about the legal claims in order to keep the authority informed and up-to-date.
  • Monitor legal claims or area operations/revenue teams and keep information up-to-date.
  • Providing guidance on proper applications and interpretation of laws and regulations applicable to the business.
  • Advise on legal/compliance issues as required and provide support to the departments on material compliance and regulatory risk issues and proactively monitor and mitigate risks.
  • Ensure adequacy of controls to mitigate risks on legal & compliance issues.
  • Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust.
  • Providing update to the Local and Group Management regarding suits/cases filed against the Company or any defaulted clients of the Company.
  • Monitoring litigations/court cases related matters and provide feedback to the Management from time to time.
  • Maintaining close connection with external legal Counsels/Panel Lawyers/Law Firms to ensure the organization is represented in a timely and effective manner in all legal matters and court cases.
  • Deal with complex matters with multiple stakeholders and forces.
  • Raise awareness of and address legal, compliance and regulatory risks and issues by providing specific training to area sales and products personnel on legal and compliance issues.
  • Any other job assigned by the Top Management.

Educational Requirements

  • Master of Law (LLM) in Law
  • Bar-at-law shall be preferable.
  • Retired Legal Officer will get preference.
  • Preferred Professional Certification: Bar registration (In Dhaka Bar)
  • Skills Required: Case Management, Company Law, Contract, Criminal Law, Income Tax, Land Survey

Experience Requirements

  • At least 15 year(s)
  • The applicants should have experience in the following area(s):
    10 to 12 year experience by supreme court, Banking law, Case Management, Company Law, Corporate Affairs, Corporate and Commercial Law, Criminal Law, Income Tax, Tax (VAT/ Customs Duty/ Income Tax)
  • The applicants should have experience in the following business area(s):
    LPG Gas/Cylinder Gas, Packaging Industry, Plastic/ Polymer Industry, Real Estate, Shipping, Shipyard, Trading or Export/Import

Additional Requirements

  • Age at least 45 years
  • Only males are allowed to apply
  • Proficiency with Microsoft Word, Excel, Outlook and PowerPoint is required.
  • Ability to present complex data in order to facilitate analysis and decision-making.
  • Ability to work in a fast-paced environment, with the ability to multi-task and meet deadlines.
  • Must be team oriented and a problem solver.
  • Strong verbal and written communication skills.
  • Will be required to perform off site duties through the use of a company vehicle.
  • Must have a valid driver’s license.

  • Negotiable
  • Depending on length of experience, field of expertise, industry exposure, market value of skill sets acquired, company may offer higher compensation package than indicated above to acquire candidate`s services for full-time employment
